COMMERCIAL & TRADE TERMS

Terms & Conditions

Standard commercial terms and conditions governing international export orders, quotations, and shipments with SHREE International Exporters LLP.

1. Overview & Acceptance

These terms and conditions govern all commercial transactions, quotations, proforma invoices, purchase orders, and export contracts executed with SHREE International Exporters LLP ("the exporter", "we", "us"). By issuing a purchase order, confirming a proforma invoice (PI), or remitting an advance payment, the buyer ("importer", "client") agrees to be bound by these trade terms.

2. Quotations & Pricing

  • All quotations are provided on an itemized basis indicating the agreed Incoterm (e.g., FOB, CIF, CFR).
  • Quotations remain valid for the period specified in the formal proforma invoice (typically 14 to 30 calendar days) due to raw material and freight market fluctuations.
  • Final pricing is confirmed upon receipt of the signed proforma invoice and agreed advance deposit.

3. Product Quality, Specifications & Inspection

All products (UPVC/CPVC pipes, ceramic tiles, sanitary ware) are manufactured in compliance with agreed international and Indian quality standards (BIS, ISO, ASTM, CE where applicable).

  • Pre-Shipment Inspection: In-house factory inspection reports and high-resolution loading photographs are provided prior to container sealing.
  • Third-Party Inspection: Importers may appoint independent inspection agencies (e.g., SGS, Bureau Veritas, Intertek) at the port or factory at the buyer's expense.

4. Payment Terms & Financial Instruments

International trade transactions are typically conducted via:

  • Telegraphic Transfer (T/T): Agreed advance deposit upon order confirmation, balance payable against scanned copy of the original bill of lading (BL) and shipping documents.
  • Letter of Credit (L/C): Irrevocable, confirmed letter of credit at sight from a premier international bank, subject to mutually agreed L/C terms.

5. Shipping, Title & Transfer of Risk

Shipment timelines and transfer of risk adhere strictly to standard Incoterms 2020:

  • For FOB terms, risk transfers to the buyer once goods pass over the ship's rail at the Indian port of loading.
  • For CIF/CFR terms, freight and marine insurance (where applicable) are arranged as agreed, with risk transferring upon vessel loading.
  • Estimated delivery and dispatch dates are provided in good faith based on factory lead times and vessel schedules.

6. Export Documentation & Customs

SHREE provides standard export documentation including commercial invoice, packing list, certificate of origin (COO), bill of lading (BL), and inspection certificates. Destination import duties, local taxes, port storage, and inland clearance at the destination country are the sole responsibility of the importer.

7. Force Majeure & Governing Law

Neither party shall be liable for delay or failure to perform resulting from acts of God, strikes, port congestion, shipping line delays, export/import embargoes, or government regulations beyond reasonable control.

All agreements and contracts shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these contracts shall be subject to the exclusive jurisdiction of the competent courts in Hubli / Dharwad, Karnataka, India.
